Terms & Conditions

Effective September 10, 2026

These Terms & Conditions ("Terms") govern your access to and use of Minsight's websites, applications, mineral asset analysis tools, reports, maps, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to enter a binding contract to use the Service. If you use the Service for an organization, you represent that you have authority to bind that organization to these Terms.

You must provide accurate account information, keep your credentials confidential, and promptly notify us of unauthorized account use. You are responsible for activity under your account except to the extent caused by our breach of these Terms or applicable law.

2. The Service

Minsight processes documents and public information to organize and estimate mineral asset, well, tract, allocation, revenue, and ownership information. We may add, change, suspend, or discontinue features from time to time.

The Service and its outputs are informational tools, not legal, title, tax, accounting, engineering, brokerage, or investment advice. Outputs may contain estimates, omissions, or errors and may rely on incomplete, delayed, or inaccurate source materials. They are not a title opinion, division order, appraisal, reserve report, or guarantee of ownership, value, production, or payment. You are responsible for verifying important information with original records and qualified professionals before making decisions.

3. Your materials

You retain ownership of documents, data, and other materials you submit to the Service ("Your Materials"). You grant Minsight a non-exclusive, worldwide, royalty-free license to host, copy, process, analyze, display, and create derivative outputs from Your Materials only as reasonably necessary to provide, secure, maintain, and improve the Service and to comply with law.

You represent that you have all rights and permissions needed to provide Your Materials and permit their use under these Terms. Do not upload material that is unlawful, malicious, infringes another person's rights, or that you are not authorized to disclose.

4. Acceptable use

You may not:

  • Use the Service in violation of law or another person's rights;
  • Probe, disrupt, damage, or bypass the security or operation of the Service;
  • Introduce malware, scrape the Service through unauthorized means, or place an unreasonable load on our systems;
  • Reverse engineer or attempt to extract source code except where the restriction is prohibited by law;
  • Resell, sublicense, or provide the Service to others unless we agree in writing; or
  • Use Service outputs to misrepresent ownership, value, entitlement, or any other material fact.

5. Subscriptions and payment

Some features require a paid subscription. Prices, billing intervals, and included features are shown when you subscribe. Unless otherwise stated, subscriptions automatically renew for successive billing periods until canceled, and you authorize our payment processor to charge the payment method on file. You may cancel through the billing portal or account settings; cancellation takes effect at the end of the current paid period unless otherwise stated.

Fees are in U.S. dollars and exclude applicable taxes. Except where required by law or expressly stated at purchase, payments are nonrefundable. We may change future subscription prices by giving reasonable advance notice. Stripe processes payments under its own terms and privacy notice.

6. Minsight property and license

The Service, including its software, design, text, graphics, models, organization, and Minsight-created content, is owned by Minsight or its licensors and is protected by intellectual-property laws. Subject to these Terms, Minsight grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for your personal or internal business purposes. No other rights are granted.

If you provide feedback, you grant Minsight a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation.

7. Public records and third-party services

The Service may contain information from government records, data providers, or other third parties and may link to or interoperate with third-party services. We do not control or endorse those sources and are not responsible for their availability, accuracy, security, content, or practices. Your use of third-party services is governed by their terms and policies.

8. Communications

You agree that we may send electronic communications about your account, transactions, security, and the Service. You may opt out of marketing communications, but not necessary Service communications. Electronic notices satisfy any legal requirement that a notice be in writing.

9. Suspension and termination

You may stop using the Service at any time and may delete your account through account settings. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, fail to pay fees, or misuse the Service. When reasonably possible, we will provide notice and an opportunity to cure. Provisions that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limits of liability, indemnity, and dispute provisions.

10. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available." Minsight disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. Minsight does not warrant that the Service or its outputs will be complete, current, secure, or suitable for any transaction or decision.

11. Limitation of liability

To the fullest extent permitted by law, Minsight and its officers, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities, arising from or related to the Service or these Terms, even if advised that such damages were possible.

To the fullest extent permitted by law, their total aggregate liability arising from or related to the Service or these Terms will not exceed the greater of $100 or the amount you paid Minsight for the Service during the 12 months before the event giving rise to the claim. These limitations do not apply to liability that cannot be limited by law.

12. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Minsight and its officers, employees, contractors, and affiliates from claims, damages, losses, liabilities, and reasonable costs arising from Your Materials, your misuse of the Service, or your material breach of these Terms or another person's rights. This obligation does not apply to the extent a claim results from Minsight's own negligence, willful misconduct, or violation of law.

13. Governing law and disputes

These Terms are governed by the laws of the State of Oklahoma and applicable United States federal law, without regard to conflict-of-law rules. Before filing a claim, you and Minsight agree to try in good faith for 30 days to resolve the dispute informally by written notice. Any legal action that is not resolved informally must be brought in the state or federal courts located in Oklahoma County, Oklahoma, and each party consents to their jurisdiction and venue.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms and revise the effective date. If a change is material, we may provide additional notice. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the changes.

15. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and Minsight regarding the Service. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; Minsight may assign them in connection with a reorganization, merger, acquisition, or asset sale. Nothing in these Terms creates an agency, partnership, joint venture, fiduciary, or employment relationship.

16. Contact

Questions or notices about these Terms may be sent to support@minsight.com.
